After upgrading 1.2.6 to 1.3.8 all categories + products disappeared from my admin?

After upgrading from 1.2.6 to 1.3.8 all the categories + products have disappeared from the admin section (/admin/categories.php)

But I can still get to the old products via /index.php?main_page=index&cPath=4 but not via the admin area.

And when I add a new product or category I can't see it using the normal category links /index.php?main_page=index&cPath=1
How do I get my old categories to appear again or create new ones?

So my store is now a brick.

I can't continue using 1.2 because my hoster has upgraded to mysql 5
