Seems like the maintainers of phpMail - codeworxtech.com have now moved their
project to: sourceforge.net/project/showfiles.php?group_id=26031
Also, it has been upped to V2.3 for php5/6. I've grabbed my copy and applied it. I can't say I've fully tested yet but I've not encounted any problems with the changes so far.
I should be noted that most, if not all, ISP's run PHP-5 and I did read somewhere that running earlier versions of phpMailer() on PHP-5 may cause problems. As mentioned above ZC-1.3.8a incorporates phpMail() v1.4.

I hae been tramping around another thread and found this one. Looks closer.
I have Moodle, PHPLists, a BBS, and any number of other programs running on my hosted server.
ZenCart will not send me email. In addition to this I get the error mentioned in this thread. Could not instatiate mail function, if I use PHP. Everything I use on the server uses PHP mailer functions.
I even tried this little script also. Neat test. Works fine.
But ZEN - no way Jose!.

I will find the answer one day, but for the moment I'm stumped.
It's NOT the hosting/server provider either, other wise my other dozen or so programs that use email would not be working either. and they all work fine.

So, can we upgrade our ZenCarts to the new maier version? because obviously I can't upgrade a hosting provider service.

I just did the install of the phpMailer 5/6 - I'm on a hosting provider by the way, on Linux. I'm using zen 1.3.8a
It's php mailer class is ancient.
Mailing now appears to be working for PHP.
I may be shouting about this too soon - but if it has sent one email - it should send others.
I'll have to test it further.

I had the exact same issue. Emails were sent fine for months then one day the emails were not sent anymore.
Created a testfile which worked fine just like rachalmers did.
My solution that worked for me:
Emails must send from known domain? set to NO
Try it, it solved my problem!
