I did an upgrade from 1.3.8 to 1.5

I see the correct database data in the store pages, even mypay pal settings seem intact

when I try to pull up the admin page is displays:

I have tried to change the admin folder name
I have adjusted the configure.php files based on numerous forum posting suggestions
The rights are 777 on these files
they look correct from what I can tell as I compared them to a completely different site that has 1.5 on it
I tried renaming htaccess as suggested
I have cleared cache as suggested

still get same display and the store invocation works as expected...

Any other ideas?
