Seriously, what kind of answer would you expect? If you want to change the look, and modify the template. And of course no one can go into the details of which files to be changed (too many)

BTW, beware of copyright. You don't want overstock to go after you and file a lawsuit.

I just like how they positioned the categories.

I haven't visited overstock.com in a while and don't remember their layout. Have you looked at any of the free templates in the download section to see if they do anything similar? You can try them out at http://(sorry, site offline)/ and see if anything comes close. You can always build on it from there.
