Just drag and drop the 'includes' folder from the mod package to the root (top) directory of your store. All the mod files and folders will go to their proper places.

    so \local_pc\fedex_web_services\includes

    goes to /my_web_server/zencart/includes/

wont this do a huge overwrite of my included folder....? Just making sure I am understanding clearly before doing this.

If your Zencart installation is in the Zencart folder on the server, that's correct. Directories and subdirectories (folders) can't be overwritten, just files. Your FTP program will ask you if you want to override a file, but that won't happen in this case, as all the files are new.
