Does Zen-Cart run on php5?

My hosting provider has suggested I upgrade to php 5 and I have many sites running ZenCart 1.3.8. Is ZenCart 1.3.8 compatible with php 5? Will this create any unintended consequences?

1.3.8 & 1.3.8a function just fine on php 5.X
